Hartford HealthCare, via its subsidiary ECHN Holdings, submitted the sole valid $86.1 million bid to acquire Manchester Memorial and Rockville General hospitals from bankrupt Prospect Medical Holdings. Approval from bankruptcy court and state regulators is still pending.
Glimpse:
With no competing bids by the deadline, Hartford HealthCare’s $86.1 million offer stands. The deal includes all hospital assets free of liens, and aims to revive services at Rockville, which had been significantly scaled back. Enlargement of Hartford’s hospital network to nine facilities is expected, pending regulatory assent.
Hartford HealthCare has emerged successful in the auction to acquire two Connecticut hospitals Manchester Memorial and Rockville General from Prospect Medical Holdings for $86.1 million. The bid, placed via its subsidiary ECHN Holdings, is the only one to meet the deadline, thereby canceling the planned asset auction.
Under the terms of the acquisition, Hartford will receive the hospitals and associated entities “free and clear” of liens, claims or encumbrances a key factor in bankruptcy sales. The package even includes the land beneath the hospitals, which had previously been sold in a controversial sale-leaseback deal in 2019.
These hospitals have endured financial stress under Prospect’s ownership. Rockville General has seen sweeping service cuts closure of surgical services, ICU units, and medical/surgical wards with patient volumes plummeting. Manchester Memorial fared somewhat better, maintaining a more active patient base.
If regulatory and court approval is granted, Hartford HealthCare will expand its Connecticut footprint to nine hospitals, surpassing Yale New Haven Health’s bed count in the state. Local stakeholders hope Hartford will reverse declines at Rockville and restore community health access.
“We look forward to the opportunity to stabilize and expand the workforce at these hospitals, enhance quality and safety, and make strategic investments in people, facilities, technologies and community partnerships.”
